Position Summary:

As the VP Legal Affairs, you will play a critical role in shaping our legal strategy, ensuring compliance, and safeguarding our interests. You will collaborate closely with executive leadership, manage a team of legal professionals, and provide expert guidance on a wide range of legal matters. Your experience with regulations and Corporate governance will be essential. This role will directly report to PCI's Chief Financial Officer (CFO), will be a strategic member of the Senior Leadership Team and a peer to the VP, General Counsel.

Key Responsibilities:

  • Collaborate with external advisors, investment bankers, and auditors to ensure compliance with regulatory requirements.
  • Advise on compliance with securities laws, corporate governance, and disclosure obligations.
  • Monitor changes in regulations and update internal policies accordingly.
  • Handle shareholder matters, proxy statements, and annual reports.
  • Oversee all litigation matters.
  • Work closely with external counsel to develop effective legal strategies to manage risk and meet the company's needs.
  • Manage cyber incident responses and related legal actions.
  • Provide legal support for M&A transactions, including due diligence, negotiation, and documentation.
  • Assess legal risks and opportunities related to potential acquisitions or divestitures.
  • Assist the board of directors in fulfilling its duties.
  • Prepare board materials, attend board meetings, and advise on governance matters.
  • Handle legal entity-related matters, import-export regulations, and international contracts.
  • Support contract drafting and negotiation for each of the company's functional areas as needed.
  • Collaborate with cross-functional teams to address global legal challenges.
  • Protect the company's IP assets, including patents, trademarks, and trade secrets.
  • Manage licensing agreements and IP-related disputes.
  • Chair or participate in the compliance committee.
  • Manage relationships with external law firms.
  • Engage legal counsel as needed for specialized matters.

Minimum Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction.
  • Minimum of 10 years of legal experience, including significant exposure to private and public company matters.
  • Strong leadership skills and the ability to manage a legal team effectively.
  • Excellent communication, negotiation, and problem-solving abilities.
  • Proven track record in handling complex litigation and regulatory issues.
