Our Gas Transmission and Midstream Law team are thrilled to welcome Sr Legal Counsel who will actively participate in the U.S. legal affairs of Enbridge's U.S natural gas pipelines Offshore business including 3 interstate natural gas pipeline and 15 non-FERC regulated natural gas along with oil pipelines in addition to platforms and liquids handling facilities. What you will do:

  • Draft, review and negotiate various natural gas and oil transaction documents such as gas gathering and gas, oil and liquids transportation agreements, interconnection and measurement agreements, straddle plant agreements, liquids separation and stabilization agreements, pipeline and facility construction and expansion agreements, operating agreements, cash collateral deposit agreements, NGL Bank Agreements, negotiated rate agreements, confidentiality agreements, and other related agreements for the Gulf of Mexico shelf and deepwater areas and some onshore Louisiana facilities
  • Assist with supervising the contract Administration ("CA") function for Offshore, which involves coordinating with the personnel from the Onshore team, Risk, ASL, Treasury, Credit, Supply Chain Management, Legal's Contract Policy drafters and other departments. Help to manage Offshore CA personnel in their performance of CA duties involving the drafting, routing, execution, distribution, and filing of Offshore contracts and assist the Onshore CA group with their CA duties for the three FERC-regulated pipeline systems transportation contracts in the LINK system; own the transition of Offshore contracts to a newly created Contract Management System ("CMS") using existing enterprise systems and licenses within SharePoint Online and Adobe Sign
  • Assist with developing responses to Requests For Proposals and contracts for awarded high-value Deepwater projects, draft and negotiate with multiple producer customers lengthy and complex contracts for the construction, reimbursement and service teams, as well as the downstream interconnection contracts
  • Assist the Associate General Counsel and Senior Counsel for Offshore with deepwater transactional deals, meeting customer needs while minimizing risk to Enbridge and with very limited use of external counsel, and with Mergers and Acquisition deals involving Offshore assets
  • Assist with and be knowledgeable about regulatory compliance for Offshore, involving FERC, BSEE/BOEM, PHMSA, OCSLA and other applicable agencies and laws including antitrust, draft tariff revisions and other filings, ensure compliance of Offshore with applicable laws and regulations
  • Assist with bankruptcy proceedings of Offshore counterparties
  • Support Onshore GTM regulatory and transactional projects as needed if available
  • Any other Legal and CA needs for Offshore as they arise

Who you are:

You have:

  • 5+ years of position specific experience along with 5+ years of oil & gas industry experience
  • Juris Doctorate and bar admission in the US in addition to being licensed to practice law in the US

You can:

  • Show a proven understanding of federal regulatory laws as it relates to interstate natural gas pipeline or offshore crude oil pipeline and other applicable laws and regulations
  • Offer knowledge of pipeline operations and business while also having strong transactional skills handling complex contracting independently

You are:

  • An excellent written and verbal communicator with strong multi-tasking, prioritizing, coordination, issue identification, analysis, resolution and leadership skills
  • Committed to customer service and team work while possessing the ability to act, make decisions and lead independently while being able to assimilate to the role, responsibilities and culture
  • Proficient with the MS Office Suite to include: Word, PowerPoint, Excel, Adobe Acrobat, Adobe Sign, and SharePoint

Physical Requirements include but are not limited to:

Grasping, kneeling, light - moderate lifting (objects up to 20 pounds), reaching above shoulder, repetitive motion, typing, sitting, standing, visual requirement (able to see screens, detect color coding, read fine print), hearing requirement and the ability to sit at a computer for long periods of time.
