The Chief Operations Counsel will report to the Senior Vice President, General Counsel. They will manage and oversee the Operations Division of the UHS Legal Department which includes development/M&A activities, healthcare regulatory matters, reimbursement, managed care, corporate governance and physician and operational/vendor/supply chain contracting.

  • Provide legal support to Corporate Development/M&A strategic planning teams including Acute, Behavioral and Ambulatory Divisions.
  • Provide guidance and counsel for the following areas for the company: corporate structure and corporate formalities and service reconfigurations for all subsidiaries, managed care contracting, licensure and accreditations, regulatory compliance, surveys, supply chain contracting and group purchasing organization management, physician contracting and relationships (employment, independent contractor, investment/ownership).
  • Advise on a variety of healthcare laws affecting operations, including, but not limited to reimbursement, compliance with all federal and state laws affecting the acute, ambulatory, behavioral and substance abuse industries, including by not limited to Stark, Anti-kickback, Corporate Practice of Medicine, Eliminating Kickbacks in Recovery Act, which includes policy and procedure drafting, preparation of training and education materials and regulatory analysis.
  • Supervise and manage a team of attorneys and additional support staff for all mergers and acquisitions and healthcare operations including facility and provider licensure and credentialing, managed care, physician contracting and supply chain contracting.
  • Manage and allocate Legal Department responsibilities on all hospital operations matters.
  • Finalize company-wide (both corporate and managed entities) of electronic contracting process with reporting capabilities for supply chain contracting, managed care platforms, behavioral health physician contracting and facility licensure.

Qualifications

  • Expert knowledge of laws, regulations, and issues relative to the healthcare industry and experience advising healthcare providers on regulatory, operational, reimbursement and M&A matters.
  • Excellent organization, management, and interpersonal skills. Ability to manage and respond to multiple priorities in a fast-paced environment.
  • Must have a minimum of 10 years experience as an attorney and be admitted into the state bar.
  • Up to 10% travel.
